I have an Maxtor DiamondMax 16 80GB ATA/133 HDD and want to install a Maxtor MaxLine II 250GB ATA/133 PATA EIDE HDD, is this an in and out process?

Yes. You can just remove the 80GB HDD and replace it with 250GB HDD.
