Your HP Pro 3130 Microtower can support up to 4 x 4GB of DDR3 PC3-10600, 1333 MHz, Non-ECC, Unbuffered, DIMM (UDIMM), 240-pin RAM sticks (such as the 4GB Samsung M378B5273CH0-CH9), or use DDR3 PC3-12800, 1600 MHz RAM, which will down throttle to 1333 MHz.
Preferably use identical RAM (same brand, model and capacity) for best RAM performance.

The best processor upgrades for your PC would be the Intel Core i7-880 or Xeon X3480 (both 4-Cores, 8-Threads, 3.07 GHz up to 3.73 GHz), or the Intel Core i7-875K or Xeon X3470 (both 4-Cores, 8-Threads, 2.93 GHz up to 3.60 GHz).

I'm not sure what you mean by 'CPU Upgrade from 32Mb to 64Mb.'
Did you mean to write CPU Upgrade from 32 Bit to 64 bit?
If so, all of the processors in the model series support 64-bit operating systems including the one your PC has installed now.
You would just need to clean install a Windows 64-bit operating system because you cannot do an in-place upgrade from a 32-Bit OS to a 64-Bit OS.
That would require having to reinstall all of your programs and files.
