My laptop is under warranty, so they're going to replace my old motherboard. 

My question is : does the new motherboard will come with a heatsink and a fan ? Or they will use the old ones on the new motherboard?

In replacing parts -- time is money!  It would take longer to remove the old fan and heatsink and replace the new ones, so they will simply swap in the replacement motherboard with the components already attached.
